Try removing these JAVA_OPTS settings:

-Dserver.rootDir=C:\jboss-4.2.0.GA\bin\..
-Dlog4j.configuration=log4j-startup.properties
-Djava.io.tmpdir=C:\jboss-4.2.0.GA\bin\..\server\default\tmp
-Dhttp.browser.port=80
-Dhttp.sslaccel.port=81
-Dhttp.webservice.port=8080
